Affiliate agreement

1 · Who this is between

This agreement is between Techly Marketing Limited (“Techly”, “we”, “us”), a company registered in Nigeria, and you, the person approved into the Techly Marketing Academy affiliate programme.

It starts on the day we approve your application and continues until either of us ends it under clause 12.

2 · What you’re agreeing to do

You’ll promote Techly Marketing Academy courses using the referral links we give you, and we’ll pay you a commission on the sales those links produce.

That’s the whole arrangement. You’re not our employee, our agent, or our partner, and this agreement doesn’t make you one — see clause 13.

To join and stay in the programme you need:

• A Techly Marketing Academy account with a confirmed email address. Your affiliate account attaches to it, and we can’t approve an application without one.
• To keep your contact details current, so we can reach you about a payout.
• To follow clause 3.

3 · How you may and may not promote

You may share your referral links anywhere you legitimately reach people — your own social accounts, your newsletter, a WhatsApp group you belong to, a talk you’re giving, a course you teach. You may say what you honestly think of a course, including what you didn’t like. You may describe a course using our published descriptions, prices and materials, and use the Techly Marketing name and logo to identify what you’re promoting, within clause 10.

You may not:

• Bid on our brand. No paid search or social advertising on “Techly”, “Techly Marketing”, “Techly Marketing Academy”, any course code, or close variants and misspellings of these. Ask us first about any other paid advertising — we’re not against it, but we won’t have two affiliates bidding each other up on the same keywords.
• Send unsolicited messages. No bulk email, WhatsApp broadcast or SMS to people who haven’t agreed to hear from you. This is your obligation under the Nigeria Data Protection Act, not ours, and it is the fastest way to damage both our names.
• Say things that aren’t true. No promising outcomes we don’t promise, no inventing discounts, endorsements, accreditations or partnerships, no implying you work for Techly or speak for us.
• Refer yourself. Buying a course through your own link isn’t a sale. The system blocks it, and any commission created by working around the block is void.
• Manufacture clicks or attribution. No automated clicking, no placing links or cookies without the person knowing, no offering people cash or rewards to click, no listing your code on coupon or voucher sites without our written permission.
• Register anything in our name. No domains, subdomains, social handles, app listings or business names containing “Techly” or a confusable variant.
• Resell, discount or bundle Academy courses, or present them as part of your own paid offering, without a separate written agreement with us.

If you’re unsure whether something is allowed, ask before you do it. We’d far rather answer a question than suspend somebody.

4 · What we pay you

30% of the order value when someone buys a single course, and 40% when they buy a full track — all three levels of one track.

Order value means the net amount before VAT, after any discount the buyer received. VAT is collected on the buyer’s behalf and remitted to the Federal Inland Revenue Service — it never belongs to Techly, so it isn’t shared. Commission is calculated in whole naira and rounded to the nearest naira.

Your rate is fixed at the rate you were approved on. We may change the rates the programme offers new affiliates, and we may change yours by giving you 30 days’ written notice. Neither ever changes a commission you have already earned: the rate is recorded on each sale at the moment it happens, and nothing recalculates it afterwards.

5 · How a sale gets credited to you

A 30-day window, and the last click wins. When someone opens your referral link we record it and set a cookie in their browser. If they buy within 30 days, the sale is yours. If they clicked someone else’s link more recently, it is theirs.

A code typed at checkout beats a cookie. Buyers can enter a referral code on the checkout page. If they enter yours, the sale is credited to you even if a different affiliate’s cookie is on their browser — someone who types a code is telling us who sent them.

We try to catch the cross-device case. If someone clicks your link on a phone, signs in to their Academy account, and buys on a laptop later, we credit you. This depends on them using the same account, so it isn’t guaranteed.

What we cannot credit: a purchase where no link was clicked and no code entered; a purchase outside the 30-day window; a purchase by you or on your behalf; a purchase where the buyer’s browser blocked the cookie and they didn’t enter your code.

Our records decide. The commission ledger in your dashboard is what we pay from. If you think it is wrong, tell us within 60 days of the sale and we will investigate and show you what we find.

6 · When you get paid

Commission clears 14 days after the sale. Our refund policy gives buyers seven days, so this leaves a week of margin. Until it clears, commission shows as “Clearing” in your dashboard and isn’t payable.

Payouts go out monthly, on the 5th, covering everything that cleared by then. If the 5th is a weekend or public holiday, the next working day.

The minimum payout is ₦5,000. Below that, your balance rolls into the next month. Nothing is lost or expires.

We pay by bank transfer to the Nigerian account you give us. Giving us correct details is your responsibility; if a transfer fails because the details are wrong, we will tell you and pay it in the next run once they are corrected. We do not store your full account number — our payment provider holds it and we keep only a reference and the last four digits.

7 · Tax

You are responsible for your own tax on what we pay you, including income tax and any registration your circumstances require.

Where Nigerian law requires Techly to deduct tax at source from your commission, we will deduct it at the rate that applies at the time, remit it to the relevant authority, and give you the credit note. The amount that reaches your account will be net of that deduction.

We cannot advise you on your tax position. Talk to your own accountant, particularly if you are operating through a registered business rather than as an individual.

8 · Refunds, and when commission is taken back

Our published refund policy is seven days and one module opened. When a refund happens:

• If your commission hasn’t been paid out yet, it is cancelled. You will see the row in your dashboard marked as refunded, with the reason. We do not quietly remove sales.
• If it has already been paid out, we do not take it back from you. Where the commission was ₦10,000 or less, we absorb it. Where it was more, we deduct it from your next payout and show it as its own line so the arithmetic is visible.

We will never reverse a payment that has already reached your account.

9 · Data protection

You will never receive information about who bought. No names, email addresses, phone numbers or any other identifier — not on your dashboard, not in an export, not on request. You will see the course, the date, the order value and your commission. This is a requirement of the Nigeria Data Protection Act and it is not negotiable, including where the buyer is someone you know.

You are not processing personal data for us, and nothing in this agreement asks you to.

Any list of your own that you use to promote us is yours and your responsibility. You are the data controller for it. You need a lawful basis for contacting those people, you must honour their requests to stop, and you must keep the records the NDPA requires. If a complaint or a regulatory action arises from how you contacted someone, it is yours to answer.

We hold your data as an affiliate — your account details, your links and clicks, your commission and payout history — to run the programme and meet our own legal obligations. Our privacy notice covers it.

10 · Using our name and materials

For as long as this agreement runs, you may use the Techly Marketing name, logo and published course materials to promote the Academy. That permission is limited: you may not alter the logo, put it on anything that suggests we endorse your own products, or use it after this agreement ends.

Everything in the courses — the videos, workbooks, slides, datasets and assessments — remains ours. Referring people to a course does not give you the right to reproduce, republish or teach from its contents. Anything you write yourself about the Academy stays yours.

11 · If something looks wrong

We monitor the programme for patterns that usually mean something has gone wrong: a sudden burst of orders from one affiliate, an unusually high refund rate, several orders paid from the same card, or sign-ups that look automated.

When a flag comes up we hold the payout, not the person. Your account stays active and you keep earning while we look. We will tell you what we have seen and give you a chance to explain, and we will resolve it within 30 days or release the payout.

We do it this way round because an automated signal will eventually land on somebody honest, and suspending them first is the wrong order.

12 · Ending this

You can leave at any time, by telling us. We can end this agreement by giving you 30 days’ written notice, without needing a reason. We can end it immediately if you breach clause 3, if you do something that creates a legal or reputational risk for Techly, or if you attempt to obtain commission you did not earn.

When it ends:

• Commission you have already earned is still paid, on the normal schedule, unless it was obtained in breach of clause 3.
• Your links stop earning. They will keep working as links for 30 days so anyone mid-purchase isn’t stranded.
• You stop using our name, logo and materials.
• Clauses 8, 9, 10 and 14 survive.

13 · The relationship between us

You are an independent contractor. This agreement does not make you an employee, agent, partner or joint venturer of Techly, and it does not entitle you to employment benefits, pension, leave or notice beyond what is written here. You have no authority to enter into anything on our behalf, make promises for us, or hold yourself out as speaking for Techly.

Our liability to you under this agreement is limited to the commission properly due to you. We are not liable for lost profits, lost opportunity, or anything you spent promoting the Academy.

We do not promise the programme will produce any particular income. Any figures on our website or in our materials are worked examples, not forecasts.

14 · Changes, law and everything else

Changes. We may update this agreement. We will tell you at least 30 days before a change takes effect, and the version you accepted continues to apply until then. Continuing in the programme after that means you accept the new version. Changes never apply to commission already earned.

Transfer. You cannot transfer this agreement or your affiliate account to anyone else. We may transfer ours to a company that acquires our business.

The whole agreement. This document, with our refund policy, privacy notice and terms of use, is the entire agreement between us about the affiliate programme. It replaces anything said beforehand.

If part of it fails. If a court finds any part unenforceable, the rest still stands.

Governing law. This agreement is governed by the laws of the Federal Republic of Nigeria. If we have a dispute, we will both try in good faith to resolve it by discussion first. If that fails within 30 days, it goes to the courts of Lagos State.
